SOS Synagogue Foundation



An international Foundation to oversee and promote the restoration and revitalization of the Subotica synagogue was established in 2001. Its Board includes local officials, representatives of the Jewish community and experts on Jewish heritage and architecture.

The board approved the Statute of the Foundation at its first meeting, held in Subotica on September 29, 2001.





S T A T U T E

of the "Sos Sinagoga" Foundation for the Restoration and Revitalization of the Synagogue

I GENERAL PROVISIONS

Article 1.


The ‘SOS Sinagoga’ Foundation for the restoration and revitalization of the Synagogue (hereinafter: Foundation) was founded following the Decision of the Municipal Assembly of Subotica with the aim to conduct the measures of technical protection and transform the Synagogue into its new purpose.

Article 2.

The Foundation is a legal entity with obligations and responsibilities defined in the Law on Charity Funds and Foundations.

Article 3.

The name of the Foundation is:
1. ‘SOS Sinagoga’ Foundation for the restoration and revitalization of the Synagogue (written in Serbian - Cyrillic alphabet)
2. ‘SOS Sinagoga’ Foundation for the restoration and revitalization of the Synagogue (written in Croatian)
3. ‘SOS Sinagoga’ Foundation for the restoration and revitalization of the Synagogue (written in English)
4. ‘SOS Sinagoga’ Foundation for the restoration and revitalization of the Synagogue (written in Hungarian)
The main office of the Foundation is in Subotica, Trg Slobode 1.

Article 4.

The Foundation has a round seal with a suitable diameter.
The text in the seal is written in:
Serbian language (Cyrillic alphabet): ‘SOS Sinagoga Fondacija za restauraciju i revitalizaciju Sinagoge (‘SOS Foundation for the restoration and revitalization of the Synagogue)
Croatian language: ‘SOS Sinagoga Fondacija za restauraciju i revitalizaciju Sinagoge (‘SOS Foundation for the restoration and revitalization of the Synagogue)
English: ‘SOS Foundation for the restoration and revitalization of the Synagogue
Hungarian language: ‘SOS Zsinagóga’ a Zsinagóga felújítására és helyreállítására létesített Alapítvány
The words ‘Subotica’ (both in Cyrillic and Latin letters) and ‘Szabadka’ (in Hungarian) are inscribed in the middle of the seal.

II ACHIEVING THE GOALS OF THE FOUNDATION

Article 5.

The aims and goals of the Foundation are:
- preparing a documentation and conducting the measures of technical protection on the Synagogue taking into account the significance of the Synagogue as a cultural monument of outstanding importance
- conducting activities (from paragraph 1) on the cultural monument aimed at its restoration and revitalization
- promoting respect and appreciation of this cultural heritage through educational and informative programs
The term Synagogue includes the building as well as the lot on which it is built.

III FINANCIAL ASSETS OF THE FOUNDATION

Article 6.

The Foundation has the following assets:

- initial founding assets
- financial assets from donators, voluntary contributions, gifts, interests on fixed term deposits
- other assets

The initial founding assets comprise the assets from the 2001 budget set aside for these purposes, as well as the assets received from a foreign donator as initial assets for achieving the goals of the Foundation. The Board of Directors sets aside the founding assets from the initial assets.
The Foundation’s other assets include financial means, immovable and movable property and rights brought into the Foundation by legal entities and physical persons.
The assets mentioned in paragraph 1 of this article can be in the form of financial means, deposits, material assets and others in accordance with the decision of the Board of Directors of the Foundation and in compliance with the requirements and needs for which the assets are being used.

Article 7.

The Foundation can also acquire income by:

- collecting assets permitted by the Law (lease, interests, dividends, agricultural crops, etc)
- receiving gifts and legacies for achieving the goals for which it was founded
- organizing cultural-art and other types of public events, professional and scientific lectures and similar activities
- selling the received gifts in case they cannot be used directly for the purposes of the Foundation
- placing the available assets through loans, time deposits, investment into shares, etc.
- organizing and conducting other activities that promote the increase of the Foundation’s assets and its more successful achievement of its goals.

The activities listed in paragraph 1 of this article can be performed and conducted by the Foundation either independently or in liaison with other legal entities or physical persons.

Article 8.

The assets of the Foundation are state owned and kept under a separate direct transfer account at the National Bank of Yugoslavia, Bureau for Accounting and Payments - Branch Office in Subotica or authorized financial organizations.
The Foundation has the obligation to handle the assets reasonably and sensibly.
The assets of the Foundation are allocated and spent according to the financial plan and in compliance with the provisions of this Statute.

Article 9.

Purpose-oriented gifts, legacies and voluntary contributions given to the Foundation are used according to the wishes of the donator.
The Board of Directors of the Foundation is obliged to inform the donator about the aims and goals of the Foundation and specify that a donation should be used only for such purposes.


Article 10.

Legal entities and physical persons as well as foreign citizens who wish to contribute to achieving the aims and goals of the Foundation can become donators of the Foundation.
Contributions of financial means can be done by paying money to the Foundation’s direct transfer account or by transfer of movable or immovable property and rights to the Foundation.

IV PURPOSE AND MODE OF USING THE ASSETS

Article 11.

The Foundation’s assets are used for the goals and purposes defined by this Statute such as:

- achieving the Foundation’s goals stated in article 5 of this Statute
- for the Foundation’s management and regular costs
- other purposes in accordance with the Law and this Statute defined by the Foundation’s Board of Directors, the financial plan or a separate decision.


Article 12.

The use of assets is based on the working program and financial plan made by the Foundation’s Board of Directors for that particular calendar year in accordance with article 5 of this Statute.
The Foundation’s working program and the financial plan can be altered during the year the same way they were made.

Article 13.

The mode of using the assets is determined by a Board of Trustees according to the guidelines of the Board of Directors or the president of the Board of Directors based on the progress of works of the working program.

V MANAGING THE FOUNDATION

BOARD OF DIRECTORS

Article 14

The Foundation’s managing body is its Board of Directors.
The members of the Board of Directors are appointed by the Municipal Assembly for a 4 year period.
The president and deputy president of the Board of Directors are chosen by the Board of Directors of the Foundation at its first meeting.
The president of the Board of Directors is, by function, an honorary member of the Board of Trustees.
The Foundation is represented by the president of the Board of Directors or its deputy or a person appointed by him.

Article 15.

The Board of Directors makes decisions on its meetings.
The president calls the meeting of the Board of Directors and manages its work. In case of his absence, the deputy president takes his place.
The president and its deputy are elected by the Board of Directors on its first meeting.
The meeting of the Board of Directors can be held and decisions may be passed if more than half out of the total members are present. The meeting of the Board of Directors can also be held via the Internet.
Decisions of the Board of Directors are made by the votes of the majority of the members of the Board of Directors.

Article 16

The Board of Directors:
1. makes the Foundation’s statute
2. makes the annual working plan of the Foundation and other acts necessary for work
3. makes the financial plan and annual account
4. takes care of the implementation of the working program and goals of the Foundation
5. makes decisions with regard to the management of the Foundation’s assets
6. appoints the Board of Trustees, provides guidelines for its work
7. performs other tasks related to the work and promotion of the Foundation’s work in compliance with the Law and this Statute

Article 17

Once a year the Board of Directors is obliged to submit a report to the Municipal Assembly of Subotica about its work.


SUPERVISORY BOARD

Article 18

The Supervisory Board is the Foundation’s control authority and it consists of three members. The members of the Supervisory Board are appointed by the Municipal Assembly for a 4 year period.
The president and the deputy president of the Foundation’s Supervisory Board are appointed by the Supervisory Board at its first meeting.

Article 19

The Supervisory Board performs its function through meetings.
The president calls the meetings of the Supervisory Board and he manages its work. In case of his absence the deputy president is in charge.
A meeting of the Supervisory Board can be held if all the members are present.
Meetings of the Supervisory Board are held at least once a year prior to accepting the annual account or more frequently if it is necessary.
The Supervisory Board is obliged to control the business activities at the request of the founders of the Foundation.

Article 20

The Supervisory Board controls the work of the Foundation, particularly:

- conducting the Statute, the working program and general acts
- implementation of the solutions of the bodies
- purpose-oriented and rational use of assets
- material and financial business activities of the Foundation and its coordination with the positive regulations and financial plan

Article 21

The Supervisory Board informs the president of the Board of Directors about the observed irregularities and specifies a time interval for their correction.
In case the observed irregularities are not eliminated in the specified period, the Supervisory Board will state them in its report that will be submitted to the founders’ assembly of the Foundation as well as to the Board of Directors.

Article 22

In the course of supervision and control the Supervisory Board has the right to:

- request documentation and data available at the Foundation from the president of the Board of Directors
- give orders to the bodies responsible for supervision and instruct the Foundation’s body on the correct mode of financial/commercial operation.

BOARD OF TRUSTEES

Article 23

The Board of Trustees is the Foundation’s executive body and at the same time the executive body of the Board of Directors.
The Board of Trustees consists of the president, deputy president and three members appointed by the Board of Directors for a 4 year mandate period. The mandate of the Board of Trustees expires with the expiration of the mandate of the Board of Directors, but the president and the members can be acquitted before the expiration of their mandates. In such cases new persons are nominated for these places.
The Board of Trustees, besides the members mentioned in paragraph 2 of this article, also has an honorary member.
The president of the Board of Trustees is always the current mayor of Subotica and the vice president is always a representative of the Jewish community.

Article 24

The Board of Trustees:
- conducts the decisions of the Board of Directors
- takes care of the collection of the Foundation’s assets
- takes care of the spending of the collected assets
- takes care of the implementation of the working program
- takes care of the implementation of the professional and administrative tasks, and undertakes other activities as well.

Article 25

The Board of Trustees makes decisions on its meetings which are called by the president of the Board, according to the requirements or upon the proposal of the president of the Board of Directors or Supervisory Board.
Decisions are made by the votes of the majority consisting of the members specified in article 23, paragraph 2 of this Statute.

Article 26

The members of the Board of Trustees have the right to manage the Foundation’s assets which are on the accounts at the authorized financial organizations or institutes.
The disposal of the assets is done collectively (by two persons), provided that one of the undersigned is the president or the vice president of the Board of Trustees.
The Board of Directors can authorize other persons as well within the Foundation for managing the assets in the way defined in paragraph 2 of this article.

VI TRANSITORY AND FINAL PROVISIONS

Article 27

The professional and administrative tasks for the Foundation are done by the founders’ professional service or a person appointed by the Board of Directors.

Article 28

In case the Foundation ceases with its operation, the Foundation’s property is transferred onto the founder.
The donators will receive back the assets given as a gift or as a contribution to the Foundation.

Article 29

All modifications and additions of this Statute are done the same way they were made.

Article 30

This Statute comes into force from the date it has been made
